Terms and Conditions, Warranty Information, and Payment Schedule 

Applicability

These general terms and conditions are the only terms that govern the sales by Boyden Woodworking & Design (BWD). Payment of the deposit constitutes Client’s acceptance of these terms and conditions, the BWD invoice pricing, and scope.

Samples, Materials and Dimensions

BWD maintains ownership of any sample materials provided to Client and all intellectual property, including but not limited to samples, CAD drawings, design documentation, etc. Wood, metal, glass, other raw material, and finish samples are intended to be representative of the finish.

Characteristics of handcrafted, solid wood furniture include open knots, visible brush strokes, micro-imperfections, and textural variations in the durable, hand-brushed finishes, unique distress marks, exposed screws, wood filler marks, joint lines, and distinctive nicks, splits, cracks, and other imperfections. Variation in grain, color, and texture are inherent in many species of wood and are not considered defects. Several species of wood have irregularities in growth that produce dark patches, mineral streaks, small wormholes, or tight knots, which are all considered enhancements to the character of the wood and overall product. Wood is a natural product; each piece has its own unique characteristics that will be highlighted by the finishes offered. These tonal variances are expected as a part of a high-quality hand-applied finish.

The client has received a detailed dimensional render of the piece to be constructed (attached to the invoice) and, in signing, approves of the design and dimensions. Up to approximately ¾-1" of variation across all measurements are allowed due to the custom nature of the handcrafted furniture we build.

Payment Schedule

The final balance for the project will be divided into three (3) payments. Payments are to be made on the following schedule:

Change Order

If the Client desires changes to product specifications, the Client shall submit a change order request to BWD. Change orders must be submitted in writing to BWD and, if accepted by BWD, may result in adjustments to pricing and the estimated delivery date of the product.

Delivery

Delivery will be via freight or normal shipping, local delivery, or customer pickup. 

Local deliveries must be accepted within 7 days of the completion of the furniture pieces, unless otherwise arranged by BWD. Deliveries not accepted within 7 days and customer pickups not completed within 7 days, unless otherwise arranged with BWD, will be subject to a $25/day storage fee.

Limited Warranty

(a) BWD warrants the workmanship of invoiced furniture against structural failure (based on intended use) for a term of two (2) years from the date of deposit. Surface nicks, scratches, dents, reasonable wear and tear are conditions assumed by the Client and do not constitute structural failure or valid claims for repair. Claims of structural failure must be submitted in writing with images and a description of desired repair. SSW may validate claims of warranty at its discretion.

(b) THIS IS THE FULL EXTENT OF WARRANTIES PROVIDED, AND BWD MAKES NO OTHER REPRESENTATION OR WARRANTY, THIS WARRANTY IS IN LIEU OF ANY OTHER EXPRESS, AND ALL IMPLIED OR STATUTORY, WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

(c) Any tampering, misuse, negligence in handling, or adjustment of furniture by the client or a third party renders the limited warranty described above void.

Limitation of Liability

(a) In no event shall BWD be liable to the Client or any third party for any loss of use, revenue, or profit, or for any consequential, indirect, incidental, special, exemplary, or punitive damages, whether arising out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damages were foreseeable and whether BWD has been advised of the possibility of such damages, and notwithstanding the failure of any agreed or other remedy of its essential purpose.

(b) In no event shall BWD’s aggregate liability arising out of or related to this agreement, whether arising out of or related to the breach of contract, tort (including negligence) or otherwise, exceed the total of the amounts paid to BWD for the furniture sold hereunder.

Applicable Law

These terms shall be governed by the laws of the State of Florida. All payments shall be made through Paypal payment processing, Quickbooks payment processing, Cash, or Check. Payment by check may delay delivery while payment clears. Company's rights granted hereby are cumulative and in addition to any rights it may have at law or equity.
